You agree to use the Site only for lawful purposes. You may not (a) interfere with or disrupt the Site or servers, (b) attempt unauthorized access, (c) scrape or copy substantial portions of the Site without written consent, or (d) use the Site to transmit malicious code or unlawful content.

Specific deliverables, fees, KPIs, and timelines for any engagement are defined in a separate written partnership or insertion order. These Terms govern general use of the Site and the high-level relationship; signed agreements control campaign-specific obligations.

Campaign performance figures, ROAS examples, reach numbers, and engagement metrics shown on this Site reflect historical results and do not constitute a guarantee of future performance. Results vary by offer, vertical, creative, audience, and market conditions.

All Site content — including text, graphics, logos, the THRYV mark, campaign frameworks, dashboards, and proprietary methodologies — is owned by or licensed to THRYV APPAREL INC and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

If you submit creative, brand assets, or materials to THRYV in connection with a partnership, you grant THRYV a non-exclusive, worldwide, royalty-free license to use those materials solely for the purpose of delivering and reporting on agreed campaigns.

You may not use the Site or our services to (a) promote illegal products or services, (b) engage in deceptive advertising, (c) infringe third-party rights, (d) violate platform policies (Meta, TikTok, YouTube, Google), or (e) circumvent FTC or other regulatory disclosure requirements.

The Site may link to third-party websites, affiliate networks, or platforms (e.g., CJ Affiliate, Impact, Awin, Rakuten, Shopify, Meta, TikTok). THRYV is not responsible for the content, policies, or practices of those third parties.

The Site and all content are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

To the fullest extent permitted by law, THRYV APPAREL INC, its officers, employees, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost revenue, or lost data — arising from your use of the Site or our services. Aggregate liability shall not exceed amounts actually paid by you to THRYV in the twelve months preceding the claim.

You agree to indemnify and hold harmless THRYV APPAREL INC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Site, or violation of any law or third-party right.

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.
